
Mathios Refractories is proceeding with the absorption of its subsidiary BAUMARKET SA, in which it holds 100% of the shares, according to a relevant information from the company.
The following is the full announcement of the company:
The Board of Directors of MATHIOS REFRACTORIES SA, in the context of valid and timely information of the public and its shareholders, informs the investing public that based on the decisions of the Board of Directors dated 16/12/2021 and 20/12/2021 of the Company, the Board of Directors decided the merger by absorption of its subsidiary BAUMARKET SA, in which it holds 100% of the shares, and approved the from 20/12/2021 Draft Merger Agreement (SAA) which on 22/12/2021 was registered in the G.E.M.I. with K.A.K. 2756810.
The said merger will take place in accordance with (a) The provisions of articles 7-21, 35 and 39-41 of Law 4601/2019 as in force, and (b) the provisions of articles 1-5 of Law 2166/1993, by inventory of the assets and liabilities as they appear in the Transformation Balance Sheets of the absorbed company, dated 31.12.2021, and by consolidation of the assets and liabilities of the merged company, with the assets of the absorbed. The final preparation of the SAA does not require a decision of the General Meeting of the merging companies in derogation of the general provisions, pursuant to the regulation of paragraph 2 of article 35 of Law 4601/2019.
